Organizational structure of RCFD is represented by regional representations being structural subdivisions operating pursuant to the Articles of Association of the Club and the legislation of the Russian Federation.
The Club’s regional representations are created on a resolution of the Presidium. Under a decision of General Meeting of a regional representation it cat gain the status of a legal entity in the order prescribed by the legislation of the Russian Federation.
The highest governing body of a representation is the General Meeting of its members that’s convened by the Chairman of the Board of a regional representation of RCFD every five years.
Exclusive competence of the General Meeting of a regional office includes:
- setting the principal and priority areas of work of a regional representation of the Club;
- voting for the Board, the Chairman of the Board and the Inspector of a regional representation of the Club for the term of 5 years, early termination of their powers;
- approval of work reports of a regional representation of the Club;
- approval of delegates for the Club Conference.
A Meeting of the Board of a regional representation is held when needed, but not less than once a year. A Meeting of the Board is duly constituted if more than a half of the elected members of a regional representation of the Club are present.
The Chairman of the Board of a regional representation bears personal responsibility for the organization of accounting of a regional representation of the Club. Responsibilities of the Chairman are as follows:
- organization of implementation of decision made by the General Meeting of regional representation, the Board, management and other bodies f the Club;
- preparation and organization of convening of regular and extraordinary General Meetings of a regional representation;
- presentation of a candidate for the Board Chairman position
- management of the Board of a regional representation of the Club
- current management of a regional representation of the Club, distribution of responsibilities among the employees of a regional representation of the Club;
- representation of interests of a regional representation of the Club without power of attorney in public authorities, organizations, courts and in relation to other persons, opening and management of settlement and other accounts in credit institutions, making deals;
- approval of internal procedures and policies of a regional representation the Club, job descriptions and etc.;
- (within the scope of competence) issuance of orders mandatory for all employees of the Club’s regional representation, exercising the control over their fulfillment, executing powers of attorney;
- hiring, firing relocating employees of the Club’s regional representation in accordance with the labor legislation of the Russian Federation;
- other responsibilities stipulated by the Articles of Association of the Club, decisions of governing and other bodies and officers of the Club and the legislation of the Russian Federation;
RCFD established its own branches and organizes representative offices on the whole territory of the Russian Federation. The Club’s branches implement its functions including the functions of a representative office. The Club’s representative offices represent the represent and protect the interests of the Club.
